Terms of Service & EULA

The agreement between Codaro and you regarding the use of our SaaS dashboard, IDE plugins, and services, including the End User License Agreement.

Welcome to Codaro. These Terms of Service ("Terms") govern your access to and use of codaro.dev, Codaro SaaS dashboard, and Codaro IDE plugins (together, the "Service"). By using Codaro, you agree to these Terms. If you do not agree, please do not use the Service.

Eligibility

  • You must be at least 16 years old to use Codaro.
  • If you use Codaro on behalf of an organization, you confirm you have authority to bind that organization to these Terms.

Services Provided

Codaro provides:

  • A SaaS dashboard for developer activity analytics and task recommendations.
  • IDE plugins (e.g. VS Code, JetBrains) that collect developer activity signals ("heartbeats") for analysis.
  • Reports and insights generated via AI summarization.

We may add or modify features at our discretion.

Accounts

  • To use the Service, you must register an account with a valid email address.
  • You are responsible for keeping your login credentials secure.
  • You must promptly notify us if you suspect unauthorized access.

Acceptable Use

You agree not to:

  • Use the Service for unlawful or harmful purposes.
  • Reverse-engineer, decompile, or interfere with the Service's operation.
  • Attempt to bypass security measures.
  • Upload malicious code or harmful data.

Violation may result in suspension or termination.

Data & Privacy

  • Our processing of personal data is governed by our Privacy Policy.
  • Plugin usage is governed by our End User License Agreement (EULA).
  • We comply with GDPR and other applicable data protection laws.
  • All traffic is secured with SSL/TLS encryption.

Payment & Subscriptions

  • Codaro may offer free and paid plans (Freemium, Pro, Business, Enterprise).
  • Prices and billing cycles are shown at checkout.
  • Payments are processed securely via external providers (e.g. Stripe).
  • Unless cancelled, subscriptions renew automatically.

Intellectual Property

  • Codaro owns all rights to the Service, including code, branding, and content.
  • You retain ownership of your code and data submitted to Codaro.
  • By using Codaro, you grant us a limited license to process your data solely to provide the Service.

Service Availability

  • We strive for high availability, but we do not guarantee the Service will be uninterrupted or error-free.
  • We may suspend or restrict access for maintenance, security, or legal reasons.

Termination

  • You may stop using Codaro at any time.
  • We may suspend or terminate your access if you violate these Terms or if required by law.
  • Upon termination, your data will be deleted or anonymized per our Privacy Policy.

Liability Disclaimer

  • Codaro is provided "as is" and "as available."
  • To the extent permitted by law, we disclaim all warranties (including fitness for a particular purpose).
  • We are not liable for indirect or consequential damages, except as required by law.

Governing Law

  • These Terms are governed by Polish law and applicable EU regulations.
  • Any disputes will be subject to the jurisdiction of Polish courts in Warsaw, unless mandatory consumer law provides otherwise.

Updates

We may revise these Terms from time to time. The latest version will always be available at /terms. Significant changes will be communicated via email or in-app notice.

End User License Agreement (EULA)

This End User License Agreement ("Agreement" or "EULA") is a legal agreement between Codaro ("Developer", "we", "us") and you, either an individual or a legal entity ("You"), governing your use of the Codaro plugin and related services (the "Plugin"). By installing or using the Plugin, You agree to be bound by this Agreement.

1. Definitions

"Plugin" – the Codaro software plugin distributed via JetBrains Marketplace.

"Developer" – Codaro, licensor of the Plugin.

"Subscription" – time-limited right to use the Plugin, based on a monthly or annual fee.

"Fallback License" – if applicable, the perpetual license to use the most recent version of the Plugin prior to Subscription expiry.

"Confirmation" – email from JetBrains confirming Your rights to use the Plugin.

"JetBrains" – JetBrains s.r.o., Na Hřebenech II 1718/8, 14000 Prague, Czech Republic, which operates JetBrains Marketplace as a reseller. JetBrains is not a party to this Agreement.

2. Grant of License

Subject to Your compliance with this Agreement and payment of applicable fees, Developer grants You a limited, worldwide, non-exclusive, non-transferable license to:

  • install and use the Plugin within JetBrains IDEs;
  • use the Plugin according to the limits specified in Your Subscription Confirmation;
  • make a reasonable number of backup copies for archival purposes.

Restrictions: You may not reverse-engineer, decompile, or disassemble the Plugin; sublicense, rent, lease, or lend the Plugin; or remove or alter proprietary notices.

Duration: If You purchased a Subscription, the license lasts for the Subscription Period. If Developer provides a Fallback License (after 12 months of uninterrupted subscription), You may continue to use the last eligible version under a perpetual license.

3. Intellectual Property

The Plugin is licensed, not sold. All rights, title, and interest in and to the Plugin remain with Developer.

4. Subscription and Fees

The Plugin is provided under a paid Subscription model. The fees and terms are described on JetBrains Marketplace. Payment is handled by JetBrains as a reseller.

5. Disclaimer of Warranty & Limitation of Liability

The Plugin is provided "AS IS" and "AS AVAILABLE." Developer disclaims all warranties, express or implied. To the maximum extent permitted by law, Developer shall not be liable for any indirect, incidental, or consequential damages. Developer's aggregate liability for claims shall not exceed the amount You paid for the Plugin in the three (3) months preceding the claim.

6. Termination

This Agreement is effective until terminated. It will terminate automatically if You breach any provision. Upon termination, You must cease use of the Plugin and destroy all copies.

7. Privacy and Data Processing

The Plugin may transmit usage data ("heartbeats") and code changes ("diffs") to Developer's servers, solely for the purposes of providing analytics and reporting features. Data is transmitted securely (TLS) and stored encrypted at rest. No screen recording or keylogging is performed.

8. Governing Law

This Agreement shall be governed by the laws of Poland.
